Explanation of responses
- F1These transactions, which were for estate planning purposes, involved the transfer by the reporting person of 24,552 shares to a family trust of which his wife is trustee and the immediate re-transfer by the trust of those same shares to a family limited liability company of which the trust is a member and the reporting person is the manager. The reporting person continues to be the beneficial owner of all of these shares for purposes of Section 16, but his interest in the shares changed from direct to indirect as a result of the transactions.
