Explanation of responses
- F1Each restricted stock unit represents a right to receive without payment one share of Baker Hughes common stock.
- F2According to the terms of the Director Restricted Stock Unit (RSU) Award Agreement granted pursuant to the Baker Hughes Incorporated 2002 Director & Officer Long-Term Incentive Plan, the RSU's forfeiture restrictions shall lapse on the earlier of the first anniversary Date of the Award (1/28/2017), or the date of the annual meeting of the stockholders of the Company next following the date of the director's 72nd birthday, provided his/her service on the Board has not terminated prior to such date of the annual meeting. Because the director had attained 73 years of age at the time of grant, the forfeiture restrictions lapsed immediately.
