Explanation of responses
- F1Reflects a grant of restricted stock units ("RSUs") that shall vest in substantially equal one-twelfth increments on each of the following dates as long as Director serves continuously on the Board of Directors of Cash America International, Inc. (the "Company") through the applicable vesting date: May 31, 2016, June 30, 2016, July 31, 2016, August 31, 2016, September 30, 2016, October 31, 2016, November 30, 2016, December 31, 2016, January 31, 2017, February 28, 2017, March 31, 2017 and the earlier of (a) April 30, 2017 or (b) the day immediately preceding the date of the 2017 annual meeting of the Company's shareholders. Pursuant to the terms of the RSU award agreement, the vesting and payment of these RSUs will be accelerated if there is a change-in-control of the Company. The number of RSUs was determined by dividing $80,000 by $36.51, the closing price of the Company's common stock on the New York Stock Exchange on the day before the grant.
