Explanation of responses
- F1Each phantom unit is the economic equivalent of one limited partner unit of Buckeye Partners, L.P.
- F2The transaction represents a gift of the securities to a trust for the benefit of the reporting person's son, who shares the reporting person's household. The reporting person disclaims beneficial ownership of these securities because the reporting person is not the trustee of the trust and does not exercise any control over the trustee or derive any economic benefit from the securities. This report shall not be deemed an admission that the reporting person is the beneficial owner of such securities for purposes of Section 16 or any other purpose.
