Explanation of responses
- F1Represents shares sold to the Issuer pursuant to the Issuer's modified "Dutch auction" tender offer to its stockholders. The Issuer purchased only a prorated portion of the shares properly tendered by each tendering stockholder. Based on the final count reported by the Issuer on April 11, 2016, the proration factor for the tender offer is approximately 40.0837%. This amended Form 4 is being filed to report the number of shares actually sold by the reporting person in connection with the tender offer based on the final proration factor.
