Explanation of responses
- F1The restricted stock unit was granted to Frank Biondi, Jr. a director of ViaSat, Inc. Upon vesting the shares were contributed to the Biondi Family Trust DTD 07/20/01.
- F2The original restricted stock unit grant was for 3,000 restricted stock units on 04/08/2015. Subject to the reporting person's continued service as a director of the Issuer, the units vest and convert into shares of common stock (on a 1 for 1 basis) at the rate of 1/3 on the first anniversary of the grant date; 1/3 on the second anniversary of the grant date; and 1/3 on the third anniversary of the grant date.
- F3Until vested, the restricted stock unit shall be subject to forfeiture in the event of termination of the directorship with the Issuer.
