Explanation of responses
- F1Each restricted stock unit represents a contingent right to receive one share of Viasat, Inc. common stock.
- F2The restricted stock units will vest and convert into shares of common stock of the Issuer on the first to occur of (i) the first anniversary of the date of grant or (ii) the next occurring annual meeting of the Company's stockholders, subject to the Non-Employee Director continuing in service on the Board through such vesting date.
