Each Restricted Stock Unit represents a contingent right to receive one share of Premier Exhibitions, Inc. Common Stock. The Restricted Stock Units vest on the earlier of (i) January 1, 2016, (ii) such earlier date as provided in the 2009 Equity Incentive Plan or (iii) on a pro-rata basis (proportionately to the number of days served by the reporting person on the Board of Directors during the year) on the date the reporting person ceases to be a director. The Restricted Stock Units will be payable to the reporting person within 20 days after they vest. Any units that do not vest will be forfeited.
