Saxe has a one-half interest as a beneficiary under the trust, Mr. Saxe's direct ownership interest is increasing by the 2,797 shares being distributed to him and Mr. Saxe's indirect ownership is reflected as decreasing by twice this amount to reflect the fact that the trust distributed 2,797 shares of common stock to Robert L.
