Explanation of responses
- F1Holdings are Restricted Stock Units ("RSUs") that convert to common stock on a one-for-one basis at a later date.
- F2Reported transaction represents Astec's quarterly contribution to the reporting person's SERP account that was used to purchase additional shares of Astec stock on the open market. Phantom shares are held in a SERP and are payable in cash following the reporting person's termination of employment from Astec. Original form filed had an incorrect number of shares acquired due to a posting error by the SERP's outside record keeper which was corrected after the original Form 4 was filed. The error correction was noticed when the next Form 4 was due to be filed.
