Explanation of responses
- F1On June 13, 2018, Royal Hawaiian Orchards, L.P. (the "Issuer") conducted a one for 2,000 reverse split of its Class A units, resulting in the number of units owned by the reporting person post-split being equal to the number of pre-split units owned divided by 2,000, less fractional units that were cancelled in the reverse split. The Issuer did not issue fractional units as a result of the reverse split. Units not divisible by 2,000 were cancelled, and in lieu of fractional units, the reporting person is entitled to receive a cash payment of $2.41 for each cancelled unit owned before the reverse split.
Remarks
This statement is occasioned by the reverse split and purchase of fractional units by the Issuer. Farhad Fred Ebrahimi is the reporting person for the Ebrahimi family consisting of Farhad Fred Ebrahimi and Mary Wilkie Ebrahimi, husband and wife. The Powers of Attorney granting Brad Nelson authority to act as attorney-in-fact for Farhad Fred Ebrahimi and Mary Wilkie Ebrahimi were filed as exhibit 24.1 and 24.2, respectively, to a Form 4 filed with the Commission on February 14, 2014.
