Explanation of responses
- F1Restricted stock units ("RSUs") convert into common stock on a one-for-one basis upon vesting.
- F2On May 5, 2016, the Reporting Person was granted 20,000 RSUs in connection with his appointment by the Issuer's board of directors (the "board") as a member of the Office of the President and Chief Executive Officer (the "OCEO"). The OCEO was formed by the Issuer's board to perform the duties of the Issuer's president and chief executive officer until such time as a successor to the Issuer's president and chief executive officer was duly appointed and reported directly to the Issuer's board. The grant was scheduled to vest in full on December 31, 2016 upon the Reporting Person's continued service to the Issuer through that date.
