Explanation of responses
- F1Pursuant to an agreement between the Reporting Person and the Issuer that was approved in advance of exercise by the Compensation Committee of the Issuer's Board of Directors in accordance with the requirements of Rule 16b-3(d)(1), the value of the share price used to determine the number of already-owned shares to be delivered by the Reporting Person to the Issuer to pay the exercise price of the option was the closing price on the trading day immediately prior to the exercise.
