Explanation of responses
- F1An option for 625,000 shares was approved by the Board of Directors of the Issuer on February 10, 2017, subject to approval by the Issuer's stockholders, at the 2017 Annual Meeting of Stockholders, of an amendment of the Issuer's 2010 Long Term Incentive and Stock Award Plan (the "Plan"), including an increase in the number of shares reserved for issuance under the Plan (the "Amendment"). The Stockholders of the Issuer approved the Amendment on May 18, 2017. 312,500 shares subject to this option will vest, if at all, upon achievement of certain performance milestones and will be reported on a separate Form 4 when the performance criteria is met, and 312,500 shares subject to this option will vest as reported hereon.
