Explanation of responses
- F1Viable International Investments, LLC acquired 600 shares of Series M Convertible Preferred Stock ("Preferred Stock") between August 2014 and April 2016, pursuant to a Securities Purchase Agreement with the Company dated June 27, 2014, at a purchase price of $10,000 per share of Preferred Stock. These shares of Preferred Stock were initially convertible into 88,369,633,872 shares of Common Stock, no par value, of the Company. The Preferred Stock was convertible at any time, at the holder's election, and has no expiration date.
