Explanation of responses
- F1Each restricted stock unit represents a contingent right to receive one share of VGZ common stock ("RSU"). Vesting of 30% of the RSUs will vest over a 36-month period (10% at 12 months, 10% at 24 months and 10% at 36 months), subject to satisfactory performance evaluations for the reporting person during the three-year vesting period. Vesting of 30% of the RSUs will occur on 7/28/2016 based on the achievement of corporate goals and objectives for the year presently in progress. Vesting of the remaining 40% of the RSUs will occur on 7/28/2017; vesting is contingent upon share price performance criteria for the Issuer's common shares during the 2-year vesting period.
