Explanation of responses
- F1The reported transaction constitutes the grant of restricted stock units which will vest one third on each of the second, third and fourth anniversaries of grant provided he is continuously employed by Pfizer through the respective anniversaries.
- F2Each unit represents one phantom share of common stock.
- F3These units, which were acquired pursuant to the Pfizer Supplemental Savings Plan, are settled in cash following the reporting person's separation from service and may be transferred by the reporting person into an alternative investment account at any time.
- F4The stock appreciation rights will settle on the fifth anniversary of the grant date (December 29, 2022) subject to both of the following requirements being met: (a) the reporting person remains continuously employed by Pfizer through the third anniversary of the grant date (December 29, 2020) and (b) Pfizer's total shareholder return is at least 25% or higher on average for 30 consecutive trading days anytime within the five-year performance period (which ends on December 29, 2022).
