Explanation of responses
- F1Annual grant of restricted stock units (RSUs) to non-employee directors granted under the 2006 Equity Incentive Plan, representing a contingent right to receive shares of common stock. Grant is prorated to reflect four rather than twelve months of service as a director. RSUs vest one-third each on the dates of the Annual Meeting of Shareholders for the three years following the date of grant. Units will be settled in shares of common stock upon the date of vesting, or if deferred by Reporting Person, upon the settlement date determined in accordance with the Director Deferred Compensation Plan. Dividend equivalent rights will accrue.
