Remarks
Pursuant to a grant agreement dated March 17, 2017, under which Skywords Family Foundation, Inc., of which Mr. Davis is a director ("Skywords"), granted 150,000 shares to the Rudolf Steiner Foundation, to be transferred at such time as neither Skywords nor Mr. Davis were subject to any "blackout period" or trading restrictions. (1) Skywords is a 501(c)(3) charitable foundation, of which the Reporting Person and his spouse serve as the two directors. The Reporting Person should not be deemed to be a beneficial owner of the shares held by Skywords under Rule 16a-2, however, the shares held by Skywords are included here for purposes of complete disclosure and in light of such shares having been previously disclosed on Forms 4 filed by the Reporting Person on 12/18/2013, 2/20/2014, 9/23/2014, 10/20/2015, 8/29/2016 and 12/16/2016.
