Remarks
On December 16, 2016 the Michael Arlen Davis Charitable Lead Annuity Trust (the "Charitable Trust") gifted 350,000 shares of Cyanotech Corporation Common Stock to Skywords Family Foundation Inc. ("Skywords"). The Reporting Person is a co-trustee of the Charitable Trust and therefore may be deemed to be a beneficial owner of the shares held by the Charitable Trust under Rule 16a-2. (1) Skywords is a 501(c)(3) charitable foundation, of which the Reporting Person and his spouse serve as the two directors. The Reporting Person should not be deemed to be a beneficial owner of the shares held by Skywords under Rule 16a-2, however, the shares held by Skywords are included here for purposes of complete disclosure and in light of such shares having been previously disclosed on Forms 4 filed by the Reporting Person on 12/18/2013, 2/20/2014, 9/23/2014, 10/20/2015 and 8/29/2016.
