Explanation of responses
- F1On January 30, 2018, the reporting person mistakenly filed a Form 4 reporting a grant of options to purchase 100,000 common shares that in fact was a grant of 100,000 restricted stock units. The Form 4 filed on January 30, 2018, is hereby amended to correct that the grant of options to purchase 100,000 shares did not occur and reporting the grant of 100,000 restricted stock units pursuant to the Issuer's Incentive Plan.
- F2Each restricted stock unit represents a contingent right to receive one common share of the Issuer. The restricted stock units may be settled solely by delivery of the issuer's common stock.
- F3Restricted stock units vest in 3 equal annual installments beginning on the first anniversary of the Grant Date, subject to the reporting person's employment on the relevant vesting date.
