- F1Shares received pursuant to an Agreement and Plan of Merger ("merger agreement"), entered into by South State Corporation and Park Sterling Corporation. Per the "merger agreement", each share of Park Sterling common stock is converted into the right to receive 0.14 shares of South State common stock (which we refer to as the "merger consideration").
