Explanation of responses
- F1No cash consideration was paid. Such shares were issued pursuant to a Recipient Agreement executed by the Reporting Person pursuant to a Closing Agreement effective as of April 21, 2017 by and between the Issuer and Energy & Environmental Research Center Foundation ("EERCF") whereby the Issuer acquired certain patent rights for the purchase price of $2,500,000 paid to EERCF in cash, 628,998 shares of common stock to EERCF and 296,002 shares to inventors designated by EERCF. The Reporting Person is one of the designated inventors. The shares issued to the Reporting Person were valued at $0.56 per share, representing the value as of the transaction date.
