Explanation of responses
- F1These Restricted Stock Units ("RSUs") represent dividend equivalent rights ("DERs") that accrued in respect of RSUs previously granted to the Reporting Person, as a result of quarterly cash dividends paid on the Issuer's Class A Common Stock. The Issuer inadvertently failed to credit these DERs upon payment of certain past dividends and credited these amounts on September 22, 2017. These DERs are vested and will be settled into an equal number of shares of Class A Common Stock following the earlier of the Reporting Person's termination of board service and a change in control under the Tribune Company 2013 Equity Incentive Plan.
