Explanation of responses
- F1Each performance share unit ("PSU") represents a contingent right to receive one share of the Issuer's Class A common stock. Subject to Mr. Bigelow's continued employment, the PSUs vest in installments upon the price of a share of the Issuer's Class A common stock achieving prices between $44 and $64 over a specified period.
- F2The expiration date of the PSUs will be March 1, 2018, except in certain circumstances relating to a change in control of the Issuer that occurs on or prior to March 1, 2019.
