Explanation of responses
- F1Each restricted stock unit ("RSU") is the economic equivalent of one share of the Issuer's Class A Common Stock.
- F2Of the RSUs granted to the Reporting Person on February 11, 2014 and March 5, 2014, 661 and 110, respectively, vested on February 11, 2015. The remaining RSUs from these grants will vest ratably in three installments on February 11, 2016, 2017 and 2018, subject to the Reporting Person's continued employment.
- F3The RSUs will vest and settle ratably into an equal number of shares of Class A Common Stock in four installments on each anniversary of February 11, 2015, subject to the Reporting Person's continued employment.
