Explanation of responses
- F1The restricted stock units vest as follows: (i) 150,000 restricted stock units vest immediately on June 11, 2026 (the "Grant Date"); (ii) 150,000 restricted stock units will commence vesting on the first anniversary of the Grant Date and will vest ratably over the twelve (12) month period beginning on such date; and (iii) 150,000 restricted stock units will commence vesting on the second anniversary of the Grant Date and will vest ratably over the twelve (12) month period beginning on such date, in each case subject to the Reporting Person's continued service through each applicable vesting date and the terms and conditions of the applicable award agreement.
