Explanation of responses
- F1On 1/1/2015, 5,784 restricted stock units vested pursuant to their terms. On 2/19/2015, 3,017 shares of Class A Common Stock were issued to Mr. Barksdale. The balance (2,767 shares) were withheld to satisfy certain tax withholding obligations related to the vesting of the restricted stock units.
- F2Each restricted stock unit represents the contingent right to receive one share of Class A Common Stock upon vesting of the unit.
- F3Mr. Barksdale resigned effective January 30, 2015, and as a consequence the outstanding awards were forfeited in accordance with their terms
