- F1The 10,262 shares were sold out of a charitable remainder trust in which Mr. Herbert and his spouse are beneficiaries and trustees; 78,521 shares remain in the trust. Mr. Herbert's spouse holds 124,880 shares in a trust in her name. The remaining shares held indirectly are held in limited liability companies in which Mr. Herbert and his spouse hold a minority financial position.
