Explanation of responses
- F1Upon the resignation of Mr. Roberson from Quantum Corporation's board of directors in accordance with Section 1(j) of the Settlement Agreement, dated as of March 2, 2017, between the Company and Viex Capital Advisors LLC, Mr. Roberson's Restricted Stock Units will vest in full immediately upon such resignation. If Mr. Roberson resigns for any other reason or is removed from the Board prior to the vesting in full of this grant, Mr. Roberson shall forfeit the entirety of the grant.
