The restricted stock units vest in four equal quarterly installments beginning three months after the grant date, subject to the reporting person's continued service as a director on each vesting date.
Remarks
Mr. Chu is a member of the board of directors of NCR Corporation (the "Issuer") and serves as a senior advisor to affiliates of The Blackstone Group L.P. ("Blackstone"). Certain affiliates of Blackstone have filed Section 16 reports reporting securities of the Issuer that they may be deemed to beneficially own. Mr. Chu disclaims beneficial ownership of any securities of the Issuer that may be deemed to be beneficially owned by affiliates of Blackstone.
