Explanation of responses
- F1In connection with the vesting and delivery of performance based restricted stock, shares were sold and the net proceeds were used to pay required withholding taxes.
- F2Shares were sold one day after originally scheduled due to broker error. As a remediation measure, the broker agreed to compensate the selling individual with, for each respective share sold, the difference between the actual execution price and the sum of $20.53, which represents the price that the selling individual would of realized had the order been properly executed. Such difference was issued in the form of a cash credit to the selling individual.
