Explanation of responses
- F1These shares were distributed out of the WCP Trust upon liquidation to the sole beneficiary of this trust, who is Mr. Partee. Accordingly, there were no changes in Mr. Partee's beneficial ownership as a result of this distribution, only a change from indirect to direct ownership.
- F2These shares were distributed out of the EJPB Exempt Trust and the EJPB Trust upon liquidation to the beneficiaries of these trusts, who consist of nieces and a nephew of Mr. Partee. Mr. Partee was the trustee of the trust but had no pecuniary interest in the shares of common stock held by these trusts. Accordingly, there were no changes in Mr. Partee's beneficial ownership as a result of this distribution.
