Explanation of responses
- F1Each restricted stock unit ("RSU") or performance share unit ("PSU") represents a contingent right to receive one share of SPGI common stock.
- F2Pursuant to the Employee Matters Agreement, dated as of June 30, 2026 (the "EMA"), by and between the Issuer and Mobility Global Inc. ("Mobility Global"), effective as of immediately prior to the Distribution (as defined in the Separation Agreement), on July 1, 2026, each PSU was converted into a restricted stock unit of Mobility Global ("Mobility RSU") based on the concentration ratio set forth therein (the "Concentration Ratio"), and measured at actual performance.
- F3Pursuant to the EMA, on July 1, 2026, each PSU was converted into a Mobility RSU based on the Concentration Ratio, and measured at target performance.
- F4Pursuant to the EMA, on July 1, 2026, each RSU was converted into a Mobility RSU based on the Concentration Ratio.
