Explanation of responses
- F1Since the date of the reporting person's last ownership report, Mr. Eckert transferred 5,000 shares of McDonald's Corporation ("MCD") common stock held through a family trust to his ex-wife pursuant to a domestic relations order. The reporting person no longer reports as beneficially owned any securities owned by his ex-wife.
- F2Each share of phantom stock is the economic equivalent of one share of MCD common stock and shall be settled in cash, pursuant to the Directors' Deferred Compensation Plan (the "Plan").
