Explanation of responses
- F1These shares were originally issued to the reporting person pursuant to the issuer's equity incentive plan (the "Plan") as the equity component of the annual fees payable to the issuer's non-management directors in 2015. Because the shares had been issued after the expiration date of the Plan, the reporting person returned such shares to the issuer (with board approval) pursuant to Rule 16b-3(e) on or about March 24, 2016 with the understanding that they would be replaced upon extension of the Plan's term. The Plan's term was extended by the approval of issuer's shareholders at the issuer's 2016 annual meeting of shareholders.
