- F1These shares were originally issued to the reporting person pursuant to the issuer's equity incentive plan as the equity component of the annual fees payable to the issuer's non-management directors in 2015. It was subsequently determined that the shares were issued after the expiration date of the issuer's equity incentive plan, and accordingly the reporting person returned such shares to the issuer (with board approval).
