Explanation of responses
- F1Reflects an option under the Issuer's Deferred Compensation Program exempt under Rule 16b-3. The Reporting Person elected to receive option shares in lieu of a portion of his 2016 salary (in the amount of $126,750) which is fixed and determinable on the grant date only conditioned on the passage of time and continued employment. If the Reporting Person receives a salary increase in 2016, he will amend this Form 4 reporting additional option shares within 2 business days from the salary increase when the additional number of option shares becomes fixed and determinable.
