The trustee of each of those trusts is Chai Trust Company, LLC, of which Mr. Zell is neither an officer nor a director, and he does not have voting or dispositive power over such shares. Mr. Zell disclaims beneficial ownership of such 1,937,022 shares of common stock, except to the extent of any pecuniary interest therein.
