Total also includes 1,937,022 shares of common stock that are held by a trust and limited liability companies that are owned indirectly by other trusts, each trust being established for the benefit of Samuel Zell and members of his family. The trustee of each of those trusts is Chai Trust Company, LLC, of which Mr. Zell is neither an officer nor a director, and he does not have voting or dispositive power over such shares. Mr. Zell disclaims beneficial ownership of such 1,937,022 shares of common stock, except to the extent of any pecuniary interest therein.
