Explanation of responses
- F1Represents shares of Hess Corporation common stock earned upon vesting of Performance Share Units granted on March 1, 2016, based on the relative performance of total shareholder return of Hess common stock compared with that of its peers over the three-year performance period ending December 31, 2018.
- F2The total number of shares owned by the reporting person prior to the transactions recorded on this Form 4 is 21,603. This footnote corrects an administrative error made in the Form 3 filed in April 2018 for the reporting person, in which the total number of shares owned was recorded as 33,363.
- F3This amount includes 13,219 shares held in escrow pursuant to the Corporation's Long Term Incentive Plans. The reporting person has only voting power of these shares until lapsing of the period set by the Committee administering the Plans at which time the shares plus accrued dividends will be delivered to the reporting person if he is still an employee of the Corporation.
