Remarks
On August 5, 2015, the Issuer entered into a Stock Purchase Agreement with Algar, Inc., whereby the Issuer issued 50,670 shares of its common stock to Algar, Inc. for aggregate consideration equal to $188,999.10. The consideration was payable in the form of a reduction of the Issuer's $378,000 accrued but unpaid bonus compensation due to Algar, Inc. pursuant to the Management Services Agreement between the Issuer and Algar, Inc. dated as of December 1, 2013.
