- F117,178 shares were inadvertently included as part of the Reporting Person's direct holdings in a previously filed Form 4. Such shares are held indirectly by the Reporting Person in a "rabbi trust."
- F2Mr. Lichtenstein, as the Chief Executive Officer of Steel Partners, Ltd. ("SPL"), may be deemed to beneficially own the shares of common stock owned directly by SPL. Mr. Lichtenstein disclaims beneficial ownership of the shares of common stock of the Company owned directly by SPL except to the extent of his pecuniary interest therein.
