F1Shares of restricted common stock issued to Mr. Hobey as part of the Company's long-term incentive program under the Real Industry, Inc. Amended and Restated 2015 Equity Award Plan (the "Plan"). The number of shares represents $150,000 divided by the closing price of the Company's common stock on the grant date. Such shares will vest in three equal installments on each of March 16, 2018, March 15, 2019 and March 16, 2020.
F2Each restricted stock unit represents the right to receive one share of common stock, at settlement.
F3Restricted stock units ("RSUs") with a grant date fair value of $150,000 issued to Mr. Hobey under the Plan. Issuance of shares subject to the RSUs is based on the Company's annualized total stockholder return ("TSR") relative to the TSR of the Russell 2000 Index of companies for the three-year performance period commencing on February 28, 2017 and ending on February 27, 2020. The "target" number of shares to be issued pursuant to the RSUs is reported. Between 0% and 150% of the target number of shares may be issued, with the actual percentage determined based on actual performance.
