Remarks
Tessenderlo has the right to nominate one member of the issuer's board of directors under the Investor Agreement dated as of September 23, 2026. Accordingly, Tessenderlo may be deemed a "director by deputization" of the issuer for purposes of Section 16 of the Securities Exchange Act of 1934.
