- F1Pursuant to the terms of the previously announced Agreement and Plan of Merger, dated September 14, 2018 (the "Merger Agreement"), by and among the issuer, Egg Parent Inc., Egg Merger Sub Inc. and Staples, Inc., these shares were tendered pursuant to the Merger Agreement in exchange for a cash payment of $12.80 per share in cash without interest.
