Explanation of responses
- F1Received in exchange for 26,000 shares of Furmanite Corporation common stock in connection with the consummation of the merger of Furmanite Corporation into a wholly-owned subsidiary of Team, Inc. (the "Merger"). As contemplated by the Agreement and Plan of Merger, dated November 1, 2015, by and among Furmanite Corporation, Team, Inc. and TFA, Inc., each share of Furmanite Corporation common stock was converted into the right to receive 0.215 shares of Team, Inc. common stock. On the effective date of the Merger, the closing price of Furmanite Corporation common stock was $5.58 per share and the closing price of Team, Inc. common stock was $25.63 per share.
