The purpose of the disposition was to enable the reporting person to satisfy tax withholding obligations that arose upon such vesting, which will be paid by the issuer to the Internal Revenue Service in cash.
- F2On March 5, 2015, the reporting person filed a Form 4 inaccurately reporting that 3,178 Class A Ordinary Shares were disposed of upon the vesting of previously awarded restricted shares. Due to an adjustment to the tax withholding rate, the amount of shares disposed was incorrectly reported. The correct number of shares disposed is 2,047.
