Explanation of responses
- F1Mr. McEwen acquired 1,526,785 shares of the Issuer's common stock in exchange for 67,857,111 shares of Canadian Gold Corp. ("Canadian Gold") pursuant to the business combination between the Issuer and Canadian Gold by way of a statutory plan of arrangement. The arrangement agreement between the Issuer and Canadian Gold, which was entered into on October 14, 2025, provided that each holder of common shares of Canadian Gold would receive 0.0225 shares of the Issuer's common stock for each share of Canadian Gold common stock held by such holder.
