- F1The securities are owned by advisory clients of Wintergreen Advisers, LLC, the investment adviser to the Reporting Person, and by a certain director nominee nominated by Wintergreen Advisers, LLC in a proposal to the Issuer dated November 14, 2016. The securities may be deemed to be beneficially owned by the Reporting Person because, although there is no formal written agreement, it is anticipated that the Reporting Person will vote with Wintergreen Advisers, LLC, its other advisory clients, and the director nominee. The Reporting Person disclaims beneficial ownership in the securities reported on this Form 3 except to the extent of its pecuniary interest, if any, therein, and this report shall not be deemed to be an admission that the Reporting Person is the beneficial owners of such securities for purposes of Section 16 of the Securities Exchange Act of 1934, as amended, or for any other purpose.
